Terms of Service

Last updated [EFFECTIVE DATE]

These Terms of Service (“Terms”) govern your use of Knight Solo (the “Service”) at knightsolo.com, operated by [LEGAL ENTITY] (“we,” “us”). By creating an account or using the Service, you agree to these Terms.

1. The Service

Knight Solo analyzes websites and produces growth audits that combine deterministic checks with AI-generated interpretation. The Service is a decision-support tool. We do not guarantee any particular search ranking, traffic, lead volume, or revenue, and findings may contain errors or omissions. You are responsible for deciding whether and how to act on them.

2. Eligibility & accounts

You must be at least 18 and able to form a binding contract. You are responsible for the information on your account and for all activity under your credentials. Keep your access secure and notify us of any unauthorized use.

3. Authorization to audit

You represent and warrant that, for each website or domain you submit, and for any Google Search Console property you connect, you own it or have the necessary authorization to audit it and to access its data. You will not submit sites you lack the right to analyze. We may block, throttle, or refuse activity that appears abusive or unauthorized.

4. Acceptable use

You agree not to: use the Service unlawfully; audit sites without authorization; attempt to overload, disrupt, or circumvent usage limits or security; scrape, reverse engineer, or copy the Service; or resell the Service except through features we provide (such as agency white-label). We may suspend or terminate accounts that violate these Terms.

5. Plans, billing & renewal

Paid plans are billed in advance on a recurring basis through our payment processor (Stripe). Prices and plan features may change on a prospective basis with notice. Subscriptions renew automatically until canceled; you can cancel or manage billing at any time from your account, and cancellation takes effect at the end of the current billing period. You are responsible for applicable taxes. Except where required by law, payments are non-refundable. [Insert refund policy, if any.]

6. Referral & agency program

Participation in the referral and agency fee-split programs is optional. Commission and fee-split rates, holds, and eligibility are those shown in the product at the relevant time and may change prospectively. You may not engage in self-referral, fraud, spam, or misleading or incentivized solicitation. Earnings accrue as pending and may be withheld, reversed, or clawed back on refunds, chargebacks, disputes, or program violations, and payouts are subject to verification. You are solely responsible for any taxes on amounts you earn, and we may issue tax forms (e.g., IRS Form 1099) where required. We may modify, suspend, or end the programs, or your participation, at our discretion.

7. Agency & white-label use

If you enable agency features, you may present reports under your own brand. You are solely responsible for your relationships with your clients and for how you use, brand, and represent the output. The decision-support nature of the Service and the absence of any performance guarantee apply equally to your clients. You agree to indemnify and hold us harmless from claims arising out of your use of the Service, your branding, and your client relationships.

8. Third-party services

The Service integrates with third parties, including Google (Search Console), Stripe (payments), and email delivery providers. Your use of those integrations is also governed by the third parties’ terms, and we are not responsible for their acts, omissions, or availability.

9. Intellectual property & your data

We and our licensors own the Service and its underlying software, which is provided to you under a limited, revocable, non-transferable license for its intended use. You retain rights in the data and inputs you provide, and you grant us a license to host and process them to operate and improve the Service. Reports we generate are provided for your use subject to these Terms.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that audits will be accurate, complete, or error-free, or that using the Service will achieve any particular result.

11. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising out of or relating to the Service will not exceed the amounts you paid us in the [12] months before the event giving rise to the claim. [Adjust and add any jurisdiction-required exceptions.]

12. Indemnification

You agree to indemnify, defend, and hold harmless [LEGAL ENTITY] and its officers, employees, and agents from any claims, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your content or inputs, your violation of these Terms, or your violation of any law or third-party right.

13. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or to protect the Service or other users. Provisions that by their nature should survive termination will survive.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with an updated date, and your continued use after changes take effect constitutes acceptance.

15. Governing law & disputes

These Terms are governed by the laws of the State of [GOVERNING STATE], without regard to conflict-of-laws rules, and the parties submit to the courts located in [GOVERNING STATE / VENUE]. [Insert any arbitration or dispute-resolution provisions.]
